Terms of Service

1. Acceptance
These Terms of Service ("Terms") govern your access to and use of the Elicivo platform, including elicivo.com and app.elicivo.com (collectively, the "Service"). By registering for an account, accessing the Service, or clicking to accept these Terms, you agree to be bound by them.
If you do not agree to these Terms, you must not use the Service.
2. The service
Elicivo provides an AI-assisted performance review platform. Workspace admins design review workflows, assign reviewers, and receive aggregated reports based on AI-conducted interviews and scoring.
Elicivo is decision-support software. It is designed to inform human employment decisions, not to automate them. AI-generated scores and narratives are not final or binding. A workspace admin must review and finalise every report before it is used in any employment context.
Under the EU Artificial Intelligence Act, Elicivo is the AI system provider. Workspace admins (employers) are the deployers and are responsible for ensuring appropriate human oversight, informing employees, and complying with applicable employment and data protection law in their use of the Service.
3. Eligibility
You must be at least 16 years old to create an account or use the Service. The Service is intended for business and organisational use.
You must not use the Service if you, your organisation, or your use of the Service is subject to international trade sanctions administered by the United Nations Security Council, the United States Office of Foreign Assets Control (OFAC), or equivalent authorities, or if use would violate applicable export control or sanctions law.
4. Accounts
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must provide accurate registration information and keep it up to date.
Workspace admins may invite members to their workspace and are responsible for managing access within their organisation.
5. Subscriptions and billing
Elicivo offers free and paid subscription plans for individuals and teams. Plan features, limits, and pricing are displayed on our pricing page and within the application.
- Monthly plans are billed in advance on a monthly cycle.
- Annual plans are billed upfront for the full annual term.
- Cancellation takes effect at the end of the current billing period. You retain access until that date.
- Payment card data is collected and stored exclusively by our payment processor. Elicivo does not store full payment card numbers.
The specific payment processor and its terms are disclosed at checkout. Payment processing is subject to change; we will update our privacy disclosures when the provider is confirmed.
6. Refunds
- Annual subscriptions: if cancelled within 14 days of payment, you may receive a refund equal to the unused portion of the subscription term (calculated daily), minus a $10 administration fee. No refund is issued after the 14-day window.
- Monthly subscriptions: no refunds for partial months.
- Credit packs: non-refundable once purchased.
Where you are a consumer in the EU or UK, you may have a 14-day right of withdrawal for digital services. Because the Service begins immediately upon subscription, you will be asked to confirm at checkout that you agree to immediate access and waive your right of withdrawal where permitted by law.
7. Credits
Certain features consume credits when workflow nodes are executed. Credit balances, grants, and consumption are displayed in your workspace.
- The Personal Free plan includes a one-time grant of 25 credits at signup. No monthly credit grant applies to the free plan.
- Paid plans include monthly credit grants as described in your plan.
- Additional credits may be purchased via credit packs.
- Unused credits expire when a workspace is closed or terminated.
8. Acceptable use
You must not use the Service to:
- Violate any applicable law or regulation.
- Discriminate against employees or reviewers on the basis of protected characteristics under applicable employment or anti-discrimination law in your jurisdiction.
- Misuse alignment or scoring settings to produce biased, discriminatory, or unlawful assessments.
- Scrape, reverse engineer, or attempt to extract source code or model behaviour beyond normal use.
- Transmit malware, spam, or abusive content.
- Use the Service on behalf of sanctioned entities or in prohibited jurisdictions.
- Use the Service for purposes materially outside employment performance review without appropriate adaptation and legal review.
9. Participant data
Workspace admins are responsible for informing reviewers and reviewees about review cycles, data processing, and their rights under applicable law. Elicivo provides transparency tooling, including participant banners, but the employer remains responsible for lawful processing.
Admins must not instruct Elicivo to withhold disclosures required by applicable law.
10. Intellectual property
Elicivo owns the Service, including software, branding, and documentation. Nothing in these Terms transfers ownership of the Service to you.
You retain ownership of content you upload or configure, including workflow definitions, rubrics, and employee data. You grant Elicivo a limited licence to process that content solely to provide the Service.
11. Data processing
When you use Elicivo to process personal data about your employees, reviewers, or reviewees, you are the data controller and Elicivo is the data processor. By using the Service, you accept our Data Processing Agreement, which forms part of these Terms.
Our Privacy Policy describes how Elicivo handles personal data more generally.
12. Suspension and termination
We may suspend or terminate access to the Service:
- Immediately for non-payment of fees.
- For material breach of these Terms, including acceptable use violations.
- Where continued provision of the Service to you would expose Elicivo or other users to significant legal, reputational, or security risk, including in cases of fraud, terrorism-related activity, or similar serious misconduct.
Upon termination, you may export or retrieve your data for up to 60 days, after which workspace data will be deleted in accordance with our Privacy Policy.
13. Disclaimers and limitation of liability
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
We do not guarantee uninterrupted or error-free operation. No uptime service level agreement applies unless separately agreed in writing.
To the maximum extent permitted by law, Elicivo's total liability arising from or relating to the Service is limited to the fees you paid to Elicivo in the 12 months preceding the event giving rise to the claim.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including statutory consumer rights in the EU and UK.
14. Governing law
These Terms are governed by the laws of England and Wales. Disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales, except where mandatory consumer protection law requires otherwise.
These Terms do not include a mandatory arbitration clause.
15. Changes to these Terms
We may update these Terms from time to time. When we make changes, we will notify registered users by in-app notification and email. For existing users, material changes take effect 30 calendar days after notice. New users are bound immediately upon acceptance.
This notice period applies to changes in legal terms only. Product changes, new features, infrastructure updates, and provider changes do not require a notice period.
